Terms of Service

Welcome to SteelQMS. These Terms of Service ("Terms") are an agreement between you and [Legal entity name] ("RW Fab," "we," "us"), the operator of SteelQMS at steelqms.app (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and "you" means that company.

1. What SteelQMS is (and isn't)

SteelQMS is cloud software that helps steel fabricators, erectors, and component manufacturers organize and maintain their quality management system, with tools oriented around the requirements of AISC certification programs.

SteelQMS is not affiliated with, endorsed by, or sponsored by the American Institute of Steel Construction (AISC). AISC 207-25, AISC 420-25, and related publications are copyrighted works of AISC. The Service contains original, paraphrased summaries of requirements for organizational purposes only — it is not a copy of, or a substitute for, the standards themselves. You are responsible for obtaining your own licensed copies of any standards that apply to your certification.

Using SteelQMS does not guarantee that you will achieve or maintain any certification, pass any audit, or comply with any standard, contract, or law. The Service provides organizational tools and informational content, not legal, engineering, or professional advice. Your quality management system, and decisions made under it, remain your responsibility.

2. Accounts and roles

You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for activity under your account.

Each company workspace has roles (such as admin, quality manager, contributor, viewer, and auditor). Workspace admins control who is invited, what role they hold, and what data they can see. You are responsible for the people you invite, including external auditors granted temporary, view-only access.

3. Subscriptions and billing

  • Per-seat pricing. Paid seats are admin, quality manager, and contributor roles. Viewer and auditor seats are free. Subscriptions have a 3-seat minimum.
  • Free trial. New workspaces receive a 30-day free trial. No payment method is required to start a trial.
  • Billing. Subscriptions are billed monthly or annually through Stripe, our payment processor. Adding or removing paid seats adjusts your bill with proration. Prices may change with advance notice; changes take effect at your next renewal.
  • Nonpayment and cancellation. If your subscription lapses or is canceled, your workspace becomes read-only. We do not automatically delete your data — you can export it, resubscribe, or request deletion at any time.
  • Taxes. Prices exclude applicable taxes, which are your responsibility.

4. Your data

You own the data you and your team enter into the Service — records, documents, files, photos, and other content ("Customer Data"). You grant us a limited license to host, process, back up, and display Customer Data solely to provide and support the Service. You are responsible for the accuracy and lawfulness of Customer Data, including any personnel information you enter about your employees.

You can export your data (for example, CSV exports and evidence packages) at any time while your account is active or read-only. Record retention and disposition inside your workspace are controlled by you through the Service's retention tools.

5. Acceptable use

You agree not to: use the Service unlawfully; upload malicious code; probe or interfere with the Service's security or other customers' data; reverse engineer the Service; upload substantial verbatim text of copyrighted standards or other content you lack rights to; or resell or provide the Service to third parties outside your workspace without our written agreement.

We may suspend access that threatens the security or integrity of the Service, with notice where practical.

6. AI features

The Service includes optional AI-assisted drafting features. When you use them, relevant text from your records is sent to our AI service providers to generate a draft. AI outputs are drafts only — they may be inaccurate and must be reviewed by a qualified person before use. Do not rely on AI output as compliance, engineering, or legal advice. Workspace admins can disable AI features, and usage limits may apply.

7. Electronic signatures

The Service lets you sign records electronically. By using signature features, you consent to conducting these transactions electronically and agree that electronic signatures made through the Service are intended to be valid and binding. Signature events are recorded in an audit log that cannot be edited after signing.

8. Our intellectual property

We own the Service, including its software, design, and original content (excluding Customer Data and AISC's publications). If you send us feedback or suggestions, we may use them without obligation to you.

9. Third-party services

The Service relies on third-party providers (such as hosting, database, payment, and email services). Their availability affects the Service, and payments are subject to Stripe's terms. We are not responsible for third-party services we do not control.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT USE OF THE SERVICE WILL RESULT IN CERTIFICATION, SUCCESSFUL AUDITS, OR COMPLIANCE WITH ANY STANDARD.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE (OR $100 IF YOU HAVE PAID NOTHING).

12. Indemnification

You will defend and indemnify us against claims arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of law or third-party rights.

13. Termination

You may cancel at any time from your billing settings. We may terminate or suspend your access for material breach of these Terms if the breach is not cured within 14 days of notice (or immediately for security threats or unlawful use). After termination, your workspace becomes read-only or inaccessible as applicable; you may request an export of your Customer Data within 60 days. Sections that by their nature should survive (including Sections 4, 8, and 10–16) survive termination.

14. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give notice through the Service or by email before it takes effect. Continued use after the effective date constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the State of [State], without regard to conflict-of-laws rules. Courts located in [State] have exclusive jurisdiction over disputes, and each party consents to venue there.
